2. Services

eCom Ads provides the following services to e-commerce brands:

• Ads Management — Google Ads and Meta Ads campaign management on a monthly retainer basis.
• Consulting — CMO-as-a-Service strategic consulting, audits, and advisory sessions.
• Training — Courses, workshops, and educational resources for e-commerce advertising.
• Free Tools — Online calculators and diagnostic tools available at tools.ecom-ads.com.

3. Scope & Applicability

These terms apply to all business-to-business (B2B) engagements between eCom Ads BV and its clients. Our services are intended for businesses and professionals acting in a commercial capacity, not for consumers.

All paid engagements are governed by a signed service agreement or statement of work. These terms supplement — but do not replace — any individually signed agreement. In case of conflict, the signed agreement prevails.

4. Payment Terms

• Services are invoiced monthly unless otherwise agreed in writing.
• Payment is due within 14 days of invoice date.
• Accepted payment methods: bank transfer (SEPA/SWIFT) and credit card (processed securely via Wise).
• All prices are in EUR unless stated otherwise and exclude VAT where applicable.
• Late payments may incur statutory interest as permitted under Dutch law.

5. Payment Security

Credit card payments are processed through Wise (TransferWise Ltd), a regulated payment institution authorised by the Financial Conduct Authority (FCA). eCom Ads does not store credit card details. All card transactions are encrypted and processed in compliance with PCI DSS standards through Wise's secure payment infrastructure.

6. Intellectual Property

All strategies, frameworks, reports, and materials created by eCom Ads during the engagement remain the intellectual property of eCom Ads BV until full payment is received, at which point deliverables transfer to the client. Generic methodologies, tools, and frameworks developed by eCom Ads remain our property and may be reused across engagements.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination of the agreement. Anonymised, aggregated data may be used in case studies with the client's prior consent.

8. Limitation of Liability

eCom Ads provides advertising management and strategic advice. We do not guarantee specific results, revenue, or return on ad spend. Advertising outcomes depend on many factors outside our control including market conditions, product-market fit, and platform algorithm changes.

Our total liability for any claim arising from our services is limited to the fees paid by the client in the three months preceding the claim. We are not liable for indirect, consequential, or incidental damages.

9. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to: outages or policy changes by advertising platforms (Google, Meta, etc.), internet disruptions, cyberattacks, natural disasters, pandemics, government actions, or changes in applicable law or regulation.

If a force majeure event continues for more than 30 consecutive days, either party may terminate the affected engagement with written notice, without liability for the unperformed portion of services.

11. Free Tools

Free tools and calculators on tools.ecom-ads.com are provided “as-is” for informational purposes. We make no warranties about the accuracy or completeness of results. No fees are charged and no refunds apply.

12. Governing Law

These terms are governed by the laws of the Netherlands. Any disputes shall be submitted to the competent court in Haarlem, the Netherlands.

13. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated to active clients via email. Continued use of our services after changes constitutes acceptance.
